1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the Errand Logix Ltd website and our errand, delivery, and personal assistance services in Lagos, Nigeria ("Errand Logix", "we", "us", or "our"). By visiting our website, booking a service, or communicating with us, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Beta Phase Notice

Errand Logix is currently operating in an active beta phase across a limited set of pilot service areas. Pricing, service areas, response times, and processes described on our website may change as we refine the platform, and availability of any service is not guaranteed. We will update these Terms as our operations evolve.

3. Eligibility

Our services are intended for individuals aged 18 and older. By booking a service or applying to become an Errand Agent, you confirm that you are at least 18 years old and legally capable of entering into a binding agreement.

4. Description of Services

Errand Logix connects customers with independent Errand Agents who complete personal errands, local deliveries, shopping, pickups, and related tasks within our defined service areas. We act as a coordinator between customers and Errand Agents; we do not manufacture, sell, or take ownership of any goods purchased or transported on a customer's behalf unless expressly agreed.

5. Booking Process

Bookings may be made through our website, WhatsApp, or other channels we make available. A booking request is not confirmed until we (or an assigned Errand Agent) confirm the details, pricing, and availability with you, typically over WhatsApp. We reserve the right to decline, delay, or cancel any booking request, including where it falls outside our current service areas, involves prohibited items, or cannot be safely or reasonably fulfilled.

6. Pricing & Payment

Prices for errands and deliveries are confirmed on a per-request basis and communicated to you before your task is assigned. Errand Logix does not currently process payments online through our website; payment for confirmed bookings is arranged by bank transfer and coordinated over WhatsApp with our team. You are responsible for paying the confirmed amount before or as otherwise agreed for your task to be completed. We do not collect or store card numbers, bank account credentials, or other sensitive payment details through our website.

7. Cancellations & Changes

You may request to cancel or change a booking by contacting us on WhatsApp before an Errand Agent has been dispatched or has begun the task. Once an Errand Agent has been dispatched, purchases have been made on your behalf, or the task is underway, cancellation may not be possible and amounts already paid or incurred (such as items already purchased) may not be refundable. Where a task cannot be completed due to a fault on our part or that of an Errand Agent, we will work with you in good faith to resolve the issue, which may include a partial or full refund at our discretion.

8. Customer Responsibilities

When booking a service, you agree to:

• Provide accurate pickup, destination, and contact information
• Be reasonably reachable by phone or WhatsApp while your task is in progress
• Ensure any items provided for delivery are lawful, safely packaged, and accurately described
• Pay the confirmed price for your booking
• Treat Errand Agents with respect and refrain from abusive, threatening, or unsafe conduct

9. Prohibited Items & Activities

You may not use Errand Logix to request the purchase, pickup, or delivery of illegal goods or substances, firearms or weapons, counterfeit goods, stolen property, hazardous materials, or any item the handling of which would violate Nigerian law. We reserve the right to refuse or cancel any request that we reasonably believe involves a prohibited item or activity, without liability to you.

10. Errand Agents

Errand Agents who complete tasks through Errand Logix operate as independent contractors and are not employees, partners, or agents of Errand Logix Ltd in the legal sense of general agency. While we take reasonable steps to onboard reliable Errand Agents, we do not guarantee the conduct, availability, or performance of any individual Errand Agent, and any issues should be reported to us promptly so we can investigate.

11. Errand Agent Applicants

If you apply to become an Errand Agent, submitting an application does not guarantee acceptance, onboarding, or the assignment of any tasks. We may request additional information during review and may decline any application at our discretion. Accepted Errand Agents may be subject to separate onboarding terms provided at that stage.

12. Website Use

You agree not to misuse our website, including by attempting to gain unauthorized access to our systems, interfering with normal operation, submitting false or fraudulent booking requests, or using the website for any unlawful purpose. We may suspend or restrict access to our website or services for any user who violates these Terms.

13. Intellectual Property

The Errand Logix name, logo, website design, and content are the property of Errand Logix Ltd unless otherwise indicated. You may not copy, reproduce, or use our branding or website content for commercial purposes without our prior written consent.

14. Disclaimers

Our services are provided on an "as available" basis during this beta phase. While we aim to provide timely and reliable errand and delivery service, we do not guarantee uninterrupted availability, specific delivery times, or that every request will be fulfilled. We are not responsible for delays or failures caused by circumstances outside our reasonable control, including traffic, weather, third parties, or events at the pickup or destination location.

15. Limitation of Liability

To the fullest extent permitted by Nigerian law, Errand Logix Ltd's total liability arising from any booking is limited to the value of the fee paid for that specific booking. We are not liable for indirect, incidental, or consequential loss, including loss of income, opportunity, or data. Nothing in these Terms limits liability that cannot lawfully be limited or excluded, such as liability for fraud or willful misconduct.

16. Indemnification

You agree to indemnify and hold Errand Logix Ltd, its Errand Agents, and personnel harmless from any claim, loss, or expense arising from your breach of these Terms, your misuse of our services, or the information you provide in connection with a booking, including inaccurate addresses, prohibited items, or unlawful instructions.

17. Privacy

Our collection and use of your personal information is described in our Privacy Policy, which forms part of these Terms by reference.

18. Termination

We may suspend or discontinue your access to our website or services at any time, with or without notice, including where we reasonably believe you have violated these Terms. You may stop using our services at any time by ceasing to book through our website or WhatsApp channels.

19. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

20. Changes to These Terms

We may update these Terms from time to time, particularly as our beta phase evolves into full operation. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
